These Terms of Service (“Terms”) govern your access to and use of the DelegateZero website, applications, APIs, and related services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms.
This document is a template and should be reviewed by qualified legal counsel to ensure it reflects your actual business practices, risk tolerance, and applicable laws.
1. Overview
DelegateZero provides an API-first decision proxy and knowledgebase that allows users to delegate certain decision-making and response activities under rules, constraints, and confidence thresholds defined by the user.
DelegateZero does not provide legal, financial, medical, or other regulated professional advice, and the Services are not intended to replace human judgment in situations where such advice is required.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you have the authority to enter into these Terms on behalf of yourself or your organization.
3. Accounts & Access
3.1 Account registration
You are responsible for providing accurate and complete information when creating an account and for keeping your account information up to date.
3.2 Credentials
You are responsible for maintaining the confidentiality of your login credentials, API keys, and tokens. You are responsible for all activities that occur under your account.
3.3 Organizational accounts
If you create an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. The Services
The Services allow you to submit decision requests, store decision-relevant knowledge, apply policies and confidence thresholds, and receive outcomes such as execution, drafts, or escalation.
You acknowledge that:
- The Services operate based on information you provide and configure
- Outcomes depend on the completeness and accuracy of that information
- The Services may change over time as features are added, modified, or removed
5. Delegated Decision-Making & Responsibility
5.1 Acting on your behalf
When enabled by you, DelegateZero may take actions or generate responses on your behalf, subject to the rules, policies, and confidence thresholds you configure.
5.2 User responsibility
You are solely responsible for:
- Determining which decisions may be delegated
- Configuring appropriate policies, constraints, and escalation rules
- Reviewing outcomes and audit logs as appropriate
- Ensuring compliance with applicable laws and obligations
5.3 No guaranteed outcomes
DelegateZero does not guarantee that decisions, responses, or actions will be correct, complete, or suitable for every situation. You acknowledge that automated or semi-automated decision-making carries inherent risk.
6. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Infringe intellectual property or other rights
- Transmit malicious code, spam, or abusive content
- Attempt to gain unauthorized access to systems or data
- Use the Services for high-risk activities without appropriate safeguards
7. Customer Content
7.1 Ownership
You retain ownership of all content, data, and information you submit to the Services (“Customer Content”).
7.2 License to operate
You grant DelegateZero a limited, non-exclusive license to process Customer Content solely to provide, maintain, and improve the Services in accordance with these Terms and our Privacy Policy.
7.3 Responsibility for content
You represent and warrant that you have all necessary rights to submit Customer Content and that doing so does not violate any law or agreement.
8. Integrations & Third-Party Services
The Services may integrate with third-party services. DelegateZero does not control and is not responsible for third-party services, their content, or their availability.
Your use of third-party services is governed by their own terms and policies.
9. Fees & Payment
Certain features or plans require payment. Fees, billing cycles, and payment terms are described at the time of purchase.
Unless otherwise stated, fees are non-refundable except as required by law.
10. Suspension & Termination
We may suspend or terminate your access to the Services if you violate these Terms or if necessary to protect the security or integrity of the Services.
You may stop using the Services at any time. Upon termination, your right to access the Services will cease, subject to any data retention obligations described in our Privacy Policy.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELEGATEZERO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELEGATEZERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
IN NO EVENT SHALL DELEGATEZERO’S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO DELEGATEZERO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless DelegateZero from and against any claims, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.
14. Confidentiality
Each party agrees to protect the other’s confidential information and to use it only as necessary to perform under these Terms, unless disclosure is required by law.
15. Changes to the Services or Terms
We may modify the Services or these Terms from time to time. Material changes will be communicated as required by law. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which DelegateZero is established, without regard to conflict of law principles.

17. Miscellaneous
- Entire agreement: These Terms constitute the entire agreement between you and DelegateZero.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.

- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
